1 Acceptance of Terms
Welcome to PMR Digital Marketing Agency ("PMRATNAM", "we", "us", or "our"), owned and operated by Parsapu Mani Ratnam, located in Ameerpet, Hyderabad, Telangana, India.
By accessing our website (pmratnam.com), engaging our consulting services, purchasing a package, or entering into a service contract with us, you ("Client", "User", "you") agree to be bound by these Terms and Conditions. If you do not agree to all terms outlined herein, you must refrain from using our website or services.
2 Scope of Services
PMRATNAM offers digital marketing, search engine optimization (SEO), web design & development, pay-per-click (PPC) ad management, social media marketing, and content strategy services.
- Specific deliverables, deadlines, and project milestones will be defined in individual Statement of Work (SOW) documents or service agreements.
- Any requested scope expansion or additional features outside the agreed SOW will require a written amendment and additional billing.
- We reserve the right to decline project requests that violate applicable laws or ethical standards.
3 Client Responsibilities
To ensure timely delivery and optimal results, the Client agrees to:
- Provide necessary access credentials (hosting, domain DNS, Google Analytics, Google Search Console, Social Media Accounts, Ad accounts) in a timely manner.
- Supply brand assets, copy, imagery, and required feedback within agreed timeframes.
- Ensure that all materials provided to PMRATNAM are legal, non-infringing, and free of copyright or trademark violations.
4 Payment Terms, Invoicing & Billing
Retainer & One-Time Fees: SEO and monthly management services operate on a prepaid retainer model due on the 1st of each service cycle. Website development projects require an upfront deposit (typically 50%) before work commences, with balance payments tied to milestone completion.
Ad Spend Exclusions: All Google Ads, Meta Ads, and third-party advertising budgets are paid directly by the Client to the respective ad platforms and are separate from PMRATNAM management fees.
Late Payments: Invoices unpaid after 7 business days from the due date may incur a late surcharge or lead to temporary suspension of active campaigns and hosting services.
5 Intellectual Property Rights
Upon receipt of full and final payment for completed work:
- The Client receives full ownership rights of final custom website code, visual designs, and copy produced specifically for their project.
- PMRATNAM retains rights to proprietary tools, templates, frameworks, or pre-existing code modules utilized during project execution.
- PMRATNAM reserves the right to display completed projects, performance metrics, and testimonials in portfolio presentations, case studies, and marketing collateral unless restricted by a signed Non-Disclosure Agreement (NDA).
6 Confidentiality & Data Protection
Both parties agree to hold all confidential, commercial, financial, and technical information strictly confidential. We implement industry-standard safeguards to protect client credentials, customer records, and strategic data provided during engagements.
7 Performance Disclaimer & Guarantees
While we apply proven, ethical, white-hat strategies to optimize search visibility and campaign ROI:
8 Limitation of Liability
In no event shall PMR Digital Marketing Agency or Mani Ratnam be liable for indirect, incidental, special, or consequential damages (including loss of profits, revenue, data, or business interruption) arising out of or in connection with our services. Our maximum cumulative liability for any claim shall not exceed the total amount paid by the Client to PMRATNAM under the specific project SOW in the 3 months preceding the claim.
9 Termination of Services
Either party may terminate a monthly recurring service agreement by providing a 30-day written notice via email to info@pmratnam.com. Payments made for work already executed or retainer periods underway are non-refundable.
10 Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal action, dispute, or proceeding arising out of or related to our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
11 Modifications to Terms
We reserve the right to update or modify these Terms & Conditions at any time. Updated versions will be posted on this page with an updated "Last Updated" date. Continued use of our website or services following any changes constitutes acceptance of the modified terms.
